Arco Infocomm, Inc., formally
a part of the ACE Group, was established in 1989 with a capitalization
of approximately NT$52 million. As a professional media company
with a particular focus on Asia's high-tech industries, Arco
Infocomm has expanded its scope to global seminars and exhibition
activities, e-business promotion and trading web sites, and
is now exclusive agent of several high-tech media of Europe,
the U.S., and Japan. Headquartered in Taipei Taiwan, Arco
Infocomm operates sales offices in Hsinchu and Tainan, and
overseas branch offices in Hong Kong and China. |

| Since its founding, Arco has invested considerably
to establish a sophisticated IT network system which can streamline
and manage the entire workflow. Within one year, Arco has been
able to control and manage the computer system on its own, increasing
efficiency and productivity of three main segments: |
- On-line personnel process: to automate and
incorporate financial, ordering, and printing processes
all in one single on-line system.
- Database management: to include and combine
circulation database management and pre-press systems into
the on-line automation infrastructure.
- High-speed data network: to implement a robust
Internet network throughout the company to provide seamless
connections to enterprise network, news links and portal
sites.

| Accumulating over 16 years of
experience in the market, Arco Infocomm successfully completed
a handful of company acquisitions and mergers in 2000, further
shaping the framework of the Asia Pacific Information Hub. We
have not only acquired Ace Media, which owned such trade publications
of Components International, Wireless International, CompuTrade
International, IPC Pro, but also extended our reaches to new
trading web sites by establishing Acesupplier.com(http://www.acesuppliers.com.tw). |

| Furthermore, working in close partnership
PennWell Corporation, Arco Infocomm has obtained
the exclusive Chinese licenses of PennWell's publications and
announced the Asian versions of PennWell's Clean Rooms, Solid-State
Technology, Lightwave, and Portable Design since 1999. To maintain
our leadership in the market, Arco are also authorized to launch
the Chinese version of Inter@ctive, a renowned Internet media
by Ziff Davis. Among them, Solid-State Technology Taiwan has
already obtained the BPA audit approval -- the first of its
kind in Taiwan. More of our publications are expected to obtain
BPS approvals in the near future. |

| In late 2000, Arco
increased its capital by cash to several millions NT dollars,
and started to build the high-tech portal, ArcoNet, which effectively
converges all of Arco's media and resources to create the most
complete technology and knowledge base and sales channels of
the region. Ultimate, our new B2B portal Acesupplier.com will
continue to deliver the most professional, in-depth, broadest,
and innovative information in the Great China area. |
